Event Attendee Terms and Conditions

THE FOLLOWING EVENT ATTENDEE TERMS, POSIT SOFTWARE, PBC (“POSIT”) CODE OF CONDUCT AT Posit Code of Conduct Link AND PRIVACY POLICY AT Posit Privacy Policy Link (COLLECTIVELY, “TERMS“) GOVERN YOUR REGISTRATION AND PARTICIPATION IN THE POSIT EVENT FOR WHICH YOU ARE REGISTERING (THE “EVENT“). THESE TERMS ARE BETWEEN YOU AND POSIT SOFTWARE, PBC. AND ITS AFFILIATES, SUBSIDIARIES, AGENTS AND SERVICE PROVIDERS (“POSIT“).

BY CLICKING THE “I ACCEPT” OR “SUBMIT” BUTTON DURING THE REGISTRATION PROCESS OR BY ATTENDING OR PARTICIPATING IN THE EVENT IN ANY CAPACITY, YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS AND REPRESENT THAT YOU HAVE READ AND UNDERSTAND ALL THE PROVISIONS HEREIN. YOU MUST NOT SELECT THE “I ACCEPT” OR “SUBMIT” BUTTON, OR ATTEND OR PARTICIPATE IN THE EVENT IN ANY CAPACITY IF YOU DO NOT AGREE TO THE TERMS. AS USED HEREIN, “YOU” AND “YOUR” MEANS THE INDIVIDUAL REGISTERING FOR OR PARTICIPATING IN THE EVENT, AND THE COMPANY OR OTHER LEGAL ENTITY BY WHICH YOU ARE EMPLOYED OR FOR WHICH YOU ARE ACCEPTING THESE TERMS. 

NOTWITHSTANDING THE FOREGOING, IF THESE TERMS ARE INCLUDED IN AN ORDER FORM WITH POSIT PURSUANT TO WHICH A LEGAL ENTITY (A “CUSTOMER”) IS PURCHASING REGISTRATIONS TO AN EVENT FOR ITS PERSONNEL, CUSTOMER AGREES TO AND ACCEPTS THE TERMS ON BEHALF OF ITS PERSONNEL (REFERRED TO HEREIN AS “YOU” AND “YOUR”) BY ENTERING INTO THE ORDER FORM WITH POSIT AND AGREES TO REQUIRE ITS PERSONNEL TO AGREE IN WRITING TO THE TERMS PRIOR TO THE EVENT. IF CUSTOMER’S PERSONNEL DO NOT AGREE TO THE TERMS, THEY MAY NOT ATTEND THE EVENT. CUSTOMER SHALL BE LIABLE FOR THE COMPLIANCE OF ITS PERSONNEL WITH THE TERMS. 

THE “EFFECTIVE DATE” OF THE TERMS SHALL BE THE DATE THAT YOU CLICK “I ACCEPT” OR “SUBMIT” DURING THE REGISTRATION PROCESS, THE DATE OF THE ORDER FORM OR THE DATE YOU ATTEND THE EVENT, AS APPLICABLE.

For further details regarding dates, scheduling, payment options and contacts for assistance, please see the Frequently Asked Questions (FAQs) particular to the Event, which are hereby incorporated into these Terms.

Posit reserves the right to modify the Terms without prior notice.  Any such amendments shall be posted on the Event website. Amendments will be effective immediately on the amended Terms being posted on the Event website and you will be deemed to have accepted them if you attend the Event. If you do not wish to accept them, you must cancel your attendance in accordance with clause 1 of these Terms.  In the event of any conflict between these Event Attendee Terms and Conditions and Posit’s Privacy Policy or Code of Conduct, these Event Attendee Terms and Conditions shall govern.

  1. PAYMENT, CANCELLATION AND SUBSTITUTIONS

1.1Payment. Payment must be provided in the manner and at the times noted in the FAQs particular to the Event. Posit reserves the right to cancel your registration without notice for failure to pay as required or if your payment is insufficient or declined for any reason. All event registrations are valid only for the event and event year for which the registrations are applicable. Registrations purchased on an Order Form are non refundable. Unused registrations will be forfeited. Registration fees are exclusive of amounts in respect of any applicable value added tax (VAT) or similar sales tax. If VAT or other sales tax is chargeable, registrants shall be required to pay to Posit such additional amounts in respect of such tax as are chargeable in relation to the registration fees.

1.2 Cancellation. Cancellations and substitutions are subject to the dates and fees specified in the FAQs. There are no refunds for no shows. Requests for cancellations or substitutions not received in writing as described in the FAQs will not be honored. Cancellation of travel reservations and hotel reservations is your exclusive responsibility. Cancelling or changing your event registration does not cancel or change your hotel reservation. Please follow the hotel cancellation instructions provided, which are in your registration and hotel confirmations. Posit is not responsible for any damages, direct or indirect, resulting from any cancelled registration or impermissible substitution. 

1.3 Cancellation by Posit. Posit may in exceptional circumstances need to cancel or postpone an Event, in which case Posit shall notify you as soon as reasonably practicable. In the event of cancellation, Posit shall issue you a full refund of relevant registration fees paid by you. In the event of postponement, Posit shall offer you the option to re-register for the rescheduled Event or issue you a full refund of relevant registration fees paid by you. Posit’s liability to you as a result of any cancellation or postponement of an Event shall be limited to the amount of registration fees which you have paid to Posit for that Event only and Posit shall not be liable for any additional damages, costs, expenses, losses or other liabilities incurred by you as a result of such cancellation or postponement. Refunds shall be issued back to the debit/credit card used for payment or by bank transfer. Refunds back to debit or credit card can only be processed within 60 days of the original transaction date. Refunds for earlier transactions must be processed by bank transfer. Event registration is subject to availability. Posit reserves the right in its sole discretion to refuse to accept any registration for any reason and/or cancel a registration or deny entry to an Event if i) maximum registration numbers have been reached, or ii) payment is declined, or iii) if such registrant become(s) subject to any sanction.

  1. EVENT MANAGEMENT

2.1 Badges. You may be required to present identification and pick up a badge at the Event checkin area before entering the Event. If badges are required for admittance, they must be worn and visible at all times while you are at the Event and during any activity associated with the Event. Badges may not be shared or exchanged with any person. 

2.2 Security and Property. Posit reserves the right to take any security measures that it deems necessary to increase the safety of attendees and exhibitors without prior notice. You should not leave bags or other property unattended. Unattended property may be removed from the Event venue, and Posit will not be responsible for any loss or damage of any kind relating to such removal. Event management may conduct security checks at any time during the Event, including, but not limited to, inspections or scans of any attendees’ or exhibitors’ person and/or their clothing, bags, containers and other items. Firearms, explosives and other weapons and hazardous materials that could be used to cause injury to another attendee are strictly prohibited at the Event venue and related activities.

2.3 Health and Safety Protocols. Posit will comply with all United States Center for Disease Control and Prevention guidelines, as appropriate, in addition to national and local guidelines to ensure a safe, controlled environment for everyone. Attendees are expected to respect the protocols that have been put in place for the Event and act responsibly.

2.4 Minimum Age. You must be at least 21 years of age to attend the Event except as agreed in writing from Posit.

2.5 Event Conduct. Posit reserves the right to refuse admission to, or to eject, any person whose conduct is disorderly, disruptive, harassing, vulgar, obscene, indecent, defamatory, hateful or otherwise offensive (including conduct consisting of disparaging statements or opinions regarding race, gender or ethnic background) or who fails to follow any of Posit’s other rules or directions, as determined by Posit in its sole discretion. 

2.6 Event Planning. The Event schedule and venue is subject to change and/or cancellation without notice. Posit does not guarantee the attendance of any exhibitor or speaker, or that any scheduled Event will take place or that the venue for the Event will not be changed, particularly in the event of any natural or public disaster, adverse weather events, pandemic or epidemic, insufficient participation or sponsorship, government regulation or shutdown, necessary venue construction, labor controversy, civil disturbance, acts or threats of terrorism, armed conflict or any other reasons beyond Posit’s reasonable control. Except as otherwise provided in Section 1.2 above, Posit will not be liable and no reimbursement will be made in the event of a cancellation or modification of Event venue, times, dates, sessions, content, format or speakers.

2.7 Virtual Events; Digital Applications. In relation to any Events which require on-line internet access, such as webinars, forums, online or virtual Events, it is your responsibility to ensure that your systems are compatible with the technology of the online Event platform prior to registering for such an Event.  Attendance at an online Event may be subject to additional online Event platform terms. By attending an online Event you are deemed to accept any such additional online Event platform terms. When logging into online Event(s) and/or digital applications used for the purposes of physical Event(s), you are responsible for i) ensuring that you have the necessary desktop or mobile equipment and internet connection and the payment of any charges necessary to access the Event, ii) any use of your Digital ID (whether that be your email address or other unique identifier or link provided by Posit) and iii) for preventing unauthorized access to or use of your Digital ID. Please inform Posit immediately if you know or suspect any breach of security, including unauthorized disclosure or use, in relation to your Digital ID. Posit is not responsible for the reliability or continued availability or speed or quality of the telephone or internet lines and/or equipment that you use to access the Event and  is not liable or responsible for any technical issues which may arise as a result of your failure to ensure compatibility of the online Event platform with your systems. Participants are not permitted:
(a) to share user name and password details with any other person(s) (including for the avoidance of doubt, any other colleague, employee, partner, director, agent or representative of the Participant or your company); or (b) to make their user names and passwords available to multiple users on a network

  1. PERSONAL INFORMATION AND RECORDINGS

3.1 Posit Privacy Policy. Posit will handle your personal information collected during registration in accordance with Posit’s Privacy Policy at Posit Privacy Policy Link

3.2 Registration Information. You agree that Posit may use your registration information to send you updates and surveys regarding the Event. You also agree that Posit may share your personal information with its thirdparty service providers to process your registration. Such third parties may have their own privacy policies that apply to their processing of your personal information.  

3.3  Sharing Your Registration Information. By attending a session sponsored by a presenter or partner, whether as a virtual participant or as an inperson attendee, you authorize Posit to share your registration information with that particular presenter or partner and agree to receive communications from such presenter or partner, which are subject to that presenter’s or partner’s privacy practices, including such entity’s privacy statement or policy. If you attend a live event you will be provided with a badge. Badges may contain tags to record your participation in breakout sessions and other activities during the Event. By permitting a presenter, partner or exhibitor to scan your badge during the Event, you authorize Posit to share your registration information with that particular presenter, partner or exhibitor and agree to receive communications from such presenter, partner or exhibitor. Communications from a presenter, partner or exhibitor will be subject to that entity’s privacy practices, including its privacy statement or policy. Attendees that are government employees or members of the press may be asked for identification. 

3.4 Attendee Lists. Registrants have the option of adding their contact information to Posit’s official networking tool, currently RainFocus, which enables Event registrants to contact each other and to view the list of registered attendees at an Event. Use of RainFocus is entirely at a registration’s option and is not required. RainFocus is a third party application and is subject to the terms and conditions and privacy policy of RainFocus. Attendees may only use the Attendee List for networking purposes and must not use the Attendee List for their own promotional and marketing purposes. In addition, an “Attendee List”, which may include the names, job titles and organizations of all registered attendees for an Event may be provided by Posit to those responsible for organization and coordination of the Event, as well as speakers, sponsoring companies and other attendees at the Event. You can opt out of being included in the Attendee List by emailing Posit at conf@posit.co at least two business days before the start of the Event.

3.5 Recordings. You acknowledge and agree that the Event is a public event, that your appearance and actions inside and outside the venue where the Event occurs are public in nature, and that you therefore have no expectation of privacy with regard to your actions or conduct at the Event. By attending the Event, you give your express consent to Posit and its agents to photograph and record the Event and activities related to the Event in visual and audio media. You hereby irrevocably agree and consent that Posit has the right to record, transcribe, modify, perform, reproduce, display, distribute and transmit in any form and for any purpose your name, company name, voice, picture, photograph, portrait and other reproductions of your likeness (collectively, your “Image”) at the Event in all or any media (including social media) whether now known or hereafter to be invented throughout the world in perpetuity in connection with:1) any advertising or promotional content and materials, 2) sharing with our subsidiaries and affiliates and service providers and 3) for any other lawful purpose including by posting on public websites and social media without any compensation to you. However, Posit is not obligated to make any use of your Image, or exercise any of the rights granted to it. You also agree that your Image may appear in photos of the Event that are made available to you, other attendees of the Event, and the public, and Posit may retain and distribute those photos. Further, at registration, you may elect to opt-out of being in any publicly shared photos by asking a staff member for a “no-photo” lanyard.

 

  1. EVENT MATERIALS; INTELLECTUAL PROPERTY RIGHTS.

4.1 You acknowledge that Posit cannot control any information posted, linked to or published by attendees during or in relation to an Event but reserves the right to remove any information that is potentially in breach of the Terms. You agree that you must not post, link to or otherwise publish any questions, comments, messages or other content that a. is not your own original work or which infringes the copyright or other rights of any third party; b. contains any form of advertising or promotion for goods and services or any spam or other form of unsolicited communication; c. contains any recommendation to buy or not buy a particular share or other investment or which contain confidential information of another party or which otherwise have the purpose of affecting the price or value of any share or other investment; d. is threatening, offensive, libelous, indecent or otherwise unlawful; e. is discriminatory in nature for example, comments which make attacks on the grounds of race, religion, sex, gender, sexual orientation, disability or age; f. personally attacks any Event speaker or any other individual participating in the Event; g. contains software viruses, files or code designed to interrupt, destroy or limit the functionality of any computer software or equipment.

4.2 All intellectual property rights in and to Events and in the content and materials relating to or provided at Events, including, but not limited to, any presentations, handouts, slides or audiovisual materials, are the property of Posit or its third party content providers (collectively “Content”). Event attendees may use the Content solely for their own personal use and benefit and not for resale, distribution or other commercial purposes. The Event trademarks, service marks and logos (“Marks”) may not be used without Posit’s prior written permission. Any request for permission to republish, reprint or use for any other purpose any of the Content or Event Marks should be sent by email to Posit at conf@posit.co. 

4.3 Views expressed by Event speakers are their own and Posit disclaims all liability for views expressed by a speaker during an Event. 

4.4 You are permitted to make reasonable video or audio recordings and to take photographs at any Event, in each case for your own personal use. You must not make video or audio recordings of the whole (or substantially the whole) of any Event or of any session within the Event, or use any recordings, photographs or screenshots for commercial purposes, unless expressly permitted by Posit.

  1. ASSUMPTION OF RISK AND RELEASE OF LIABILITY. YOU UNDERSTAND THAT PARTICIPATION IN THE EVENT IS VOLUNTARY AND CARRIES WITH IT CERTAIN INHERENT RISKS THAT CANNOT BE ELIMINATED REGARDLESS OF THE CARE TAKEN TO AVOID INJURIES. YOU HEREBY AGREE TO INDEMNIFY, RELEASE AND HOLD HARMLESS POSIT, ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, VENDORS, PARTNERS, AGENTS AND CONTRACTORS FROM ANY AND ALL ALLEGED AND/OR ACTUAL LIABILITY, CLAIMS, ACTIONS, LAWSUITS, DEMANDS, DAMAGES, COSTS, EXPENSES AND LOSSES OF ANY KIND, INCLUDING ATTORNEYS’ FEES, WHICH ARISE OUT OF OR RESULT FROM YOUR ATTENDANCE AT AND PARTICIPATION IN THE EVENT AND ANCILLARY ACTIVITIES, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE AND PERSONAL INJURIES, ILLNESS, DEATH OR OTHER PHYSICAL LOSS, WHETHER OR NOT FORESEEABLE. POSIT RESERVES THE RIGHT TO RECOVER FROM YOU ANY LOSS OR DAMAGE INCURRED OR SUFFERED BY POIST, THE EVENT VENUE, OR ANY OTHER EVENT ATTENDEES AS A RESULT OF YOUR CONDUCT AT THE EVENT OR FAILURE TO COMPLY WITH THE TERMS.
  2. DISCLAIMER; LIMITATION OF LIABILITY.

6.1 YOU AGREE THAT YOUR ACCESS TO ANY EVENT AND YOUR USE OF ANY OF THE CONTENT IS AT YOUR SOLE RISK AND RESPONSIBILITY AND ACKNOWLEDGE THAT ALL CONTENT IS PROVIDED “AS IS” AND “AS AVAILABLE”.  POSIT IS NOT RESPONSIBLE FOR ANY KIND OF LOSS OR DAMAGE TO PERSONAL PROPERTY AND ATTENDEE(S) ARE RESPONSIBLE FOR OBTAINING ANY RELEVANT INSURANCE IN RELATION TO THEIR ATTENDANCE AT AN EVENT.

6.2 POSIT SHALL NOT BE LIABLE, WHETHER BASED ON A CLAIM IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE ARISING OUT OF OR IN RELATION TO THE EVENT OR THE TERMS, FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES, WHETHER OR NOT SUCH DAMAGES WERE REASONABLY FORESEEABLE. POSIT’S TOTAL LIABILITY TO YOU, WHETHER BASED ON AN ACTION OR CLAIM IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE ARISING OUT OF, OR IN RELATION TO THE EVENT AND THE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF THE REGISTRATION PAID OR PAYABLE BY YOU TO POSIT. NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE POSIT’S LIABILITY FOR: (A) DEATH OR PERSONAL INJURY; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.   

  1. ANTI-BRIBERY AND CORRUPTION.

7.1 You undertake that you shall comply with any applicable anti-bribery laws, rules and regulations, including without limitation the United States Foreign Corrupt Practices Act and the UK Bribery Act (“Anti-Bribery Legislation”).

7.2 You undertake that you will not, directly or indirectly pay, offer, give or promise to pay or authorize the payment of any monies or other items of value to: (a) an official or employee of a government department, agency or instrumentality, state-owned or controlled enterprise or public international organization;
(b) any other person at the suggestion, request or direction or for the benefit of any of the above-described persons,
if any such payment, offer, act or authorization is for purposes of influencing official actions or decisions or securing any improper advantage in order to obtain or retain business, or engaging in acts or transactions otherwise in violation of the Anti-Bribery Legislation.

7.3 You undertake that neither you nor, so far as you are aware, any agents or other persons acting on your behalf has directly or indirectly: (a) violated or is in violation of any applicable Anti-Bribery Legislation;
(b) made, offered to make, promised to make or authorized the payment or giving of, directly or indirectly, any bribe, rebate, payoff, influence payment, kickback or other payment or gift of money or anything of value (including meals or entertainment) to any officer, employee or ceremonial office holder of any government or instrumentality thereof, any political party or supra-national organization (such as the United Nations), any political candidate, any royal family member or any other person who is connected or associated personally with any of the foregoing that is prohibited under any applicable law or regulation or otherwise for the purpose of influencing any act or decision of such payee in their official capacity, inducing such payee to do or omit to do any act in violation of their lawful duty, securing any improper advantage or inducing such payee to use their influence with a government or instrumentality thereof to affect or influence any act or decision of such government or instrumentality (“Prohibited Payments”); or
(c) been subject to any investigation by any governmental entity with regard to any actual or alleged Prohibited Payment.

  1. TRADE SANCTIONS.

8.1 Neither you, nor, so far as you are aware, any agents or other persons acting on your behalf:
(a) is listed on the “Specially Designated Nationals and Blocked Persons” list maintained by the Office of Foreign Assets Control of the United States Department of the Treasury (“OFAC”) or any similar list maintained by the United Nations, the United Kingdom, the European Union, or any other relevant governmental entity;
(b) directly or indirectly, has conducted, conducts or is otherwise involved with any business with or involving any government (or any sub-division thereof), or any person, entity or project, targeted by, or located in any country that is the subject of, any of the sanctions administered by OFAC or any equivalent sanctions or measures imposed by the United Nations, the United Kingdom, the European Union or any other relevant governmental entity (collectively “Sanctions”); (c) directly or indirectly supports or facilitates, or plans to support or facilitate or otherwise become involved with, any such person, government, entity or project; or (d) is or ever has been in violation of or subject to an investigation relating to Sanctions.

8.2 Each Event registrant shall ensure they are legally entitled to attend the Event and by attending each the registrant warrants that they are not the subject of any sanctions or trade controls or other restrictions that mean they should not attend.

  1. GENERAL. The Terms and all disputes will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its principles of conflicts of laws. Any judicial action with respect to the Event or the Terms shall be filed exclusively in the federal or state courts located in Suffolk County, Massachusetts and. you hereby irrevocably waive any and all claims and defenses you might otherwise have in any action or proceeding in any of such courts based upon any alleged lack of personal jurisdiction, improper venue, forum non conveniens or any similar claim or defense. The Terms and their incorporated documents constitute the complete and exclusive understanding and agreement of the parties and supersede all prior understandings and agreements, whether written or oral, with respect to the subject matter hereof.  These terms were published on July 22, 2025 and apply until they are superseded by a new version. These terms contain the entire agreement between you and PwC. If any provision of these terms is held to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, such provision will be severed and the remainder of the provisions will continue in full force and effect as if the terms had been executed with the invalid, illegal or unenforceable provision omitted. Any express or implied waiver to perform any obligations under these terms will not prevent the subsequent enforcement of them. Posit may, without your consent, assign, sub-contract or transfer any and all of our rights and obligations under the Terms to its affiliates or to its successor in a merger, acquisition, reorganization or other change of control including without limitation the sale of all or substantially all of its assets, stock or business. You may not assign, sub-license or otherwise transfer any of your rights under these Terms without our prior written consent.
